Corporate Governance

The corporate governance principles of Gazprombank (Switzerland) Ltd. are designed to lead the Bank towards sustainable growth, to create value for its main shareholder, as well as to protect the shareholder’s interests.

The Banks’s corporate governance policies and procedures are defined in a series of documents governing the organization and management of the Bank adopted by the Board of Directors.

As mandated by the Swiss banking law, the Bank operates under a strict dual board structure comprising the Board of Directors (BOD) and Executive Management Board (EMB). The functions of the Chairman of the BOD and the Bank’s CEO are assigned to two different persons, thus ensuring the separation of powers. Such structure preserves the independence of the BOD from day-to-day management of the Bank, for which responsibility is given to the EMB. No member of one board may be a member of the other.
